These Terms and Conditions (“Terms”) govern your access to and use of the Diginou platform (“the Platform”), operated by Diginou (“we”, “us”, “our”), accessible via https://diginou.com and any related software, services, or applications (collectively, the “Service”).
The Diginou platform is a product owned and operated by DPS ATHENS Monoprosopi Idiotiki Kefalaiouchiki Etairia (“the Company”), Tax Identification Number (TIN): 801915550.
By accessing or using any part of the Diginou Platform, you agree to be bound by these Terms.
If you do not agree, you must not use the Service.
1. Description of the Service
Diginou is a cloud-based software platform for digital menus, online ordering, order management, SoftPOS-enabled payment workflows, and electronic invoicing integrations for restaurants, cafés, bars, and food businesses.
Diginou is not a restaurant, food provider, delivery provider, payment institution, bank, tax advisor, accountant, or fiscal authority. The Platform provides software tools only. The business using the Platform remains solely responsible for its commercial, tax, legal, accounting, food safety, and customer obligations.
Diginou provides restaurant owners and food businesses with digital tools to create and manage online menus, process orders, and handle other related business activities.
The Platform may include, but is not limited to:

Online menu creation and editing

Order management tools

Customer communication features
-
Reporting and analytics dashboards

Integration with payment systems, websites, and social networks
2. User Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements to use the Platform.
By using Diginou, you confirm that you meet these criteria.
3. Account Registration
To access most features, you must create and maintain an active account. You are responsible for:

Providing accurate and up-to-date information

Maintaining the confidentiality of your login credentials

All activities performed through your account
We reserve the right to suspend or delete accounts at our sole discretion.
4. Acceptable Use
You agree not to:

Use the Platform for illegal or unauthorized purposes

Copy, modify, distribute, or reverse-engineer any part of the Platform

Upload malicious software or breach system security

Infringe upon Diginou’s or third-party intellectual property rights

Upload or transmit defamatory, obscene, fraudulent, or otherwise illegal content
5. User Content
You retain ownership of the content you upload (menus, product descriptions, images, etc.).
However, you grant Diginou a non-exclusive, worldwide, royalty-free license to host, use, reproduce, and display your content solely for operating and promoting the Service.
You are solely responsible for your content.
Diginou assumes no liability for inaccuracies, legal issues, or damages arising from user-generated content.
6. Third-Party Integrations
The Platform may integrate third-party services (e.g. payment gateways, delivery services, POS systems).
Use of such services is governed by their own terms and privacy policies.
Diginou shall not be held liable for any issues or losses related to third-party services.
7. Availability & Support
While we aim to provide continuous availability, we do not guarantee uninterrupted operation.
We may update, suspend, or discontinue the Service at any time without prior notice.
Support is provided on an availability basis, with no guarantee of response or resolution times.
8. Limitation of Liability
To the maximum extent permitted by law:

Diginou shall not be liable for any indirect, incidental, special, punitive, or consequential damages, loss of profits, data, or business interruption resulting from the use or inability to use the Platform.

Our total liability for any claim shall not exceed the amount you paid (if any) within the three (3) months preceding the claim.
You use the Platform at your own risk.
All services are provided “as is” and “as available”, without warranties of any kind.
9. Responsibility of Professionals
Professionals using Diginou are solely responsible for:

The legality of their products/services,

The accuracy of the information they provide,
-
Compliance with applicable Greek and EU laws.
They must issue valid tax invoices/receipts for every transaction.
Diginou assumes no liability for any omissions or failures in this regard.
10. Merchant / Seller of Record
Each business using Diginou acts as the sole merchant, seller, and supplier of record for all products, services, orders, invoices, receipts, refunds, cancellations, deliveries, and customer communications.
Diginou does not sell food, beverages, products, or services to end customers. Diginou does not control product quality, pricing, availability, delivery times, allergens, refunds, cancellations, or customer service policies of the business.
The business is solely responsible for:
– The accuracy of menu items, prices, descriptions, images, allergens, taxes, and availability;
– Accepting, preparing, fulfilling, cancelling, refunding, or rejecting orders;
– Handling customer complaints, refunds, chargebacks, disputes, and delivery issues;
– Complying with all applicable food safety, consumer protection, tax, invoicing, and business licensing laws.
End customers must contact the relevant business directly for any issue related to an order, product, refund, delivery, or service.
11. Payments via PSPs (Viva Wallet & Stripe)
Card payments and other electronic payments made through the Platform are processed by third-party payment providers. Currently, the supported payment provider is Viva.com and Stripe. Additional payment providers may be added in the future.
Diginou does not collect, hold, store, manage, or transfer payment funds on behalf of businesses or customers. Payments are processed directly by the payment provider and are settled according to the provider’s own terms, conditions, pricing, settlement rules, and availability.
The business using the Platform is solely responsible for maintaining an active and compliant account with the supported payment provider.
Diginou is not a payment institution, bank, electronic money institution, payment processor, payment facilitator, or financial intermediary.
Refunds, chargebacks, failed payments, payment disputes, delayed settlements, card verification issues, fraud checks, account restrictions, or payment provider errors are handled according to the payment provider’s own rules and are the responsibility of the business and/or the payment provider.
Diginou shall not be liable for any loss, delay, rejection, chargeback, refund, blocked account, failed transaction, or payment provider decision.
A Diginou charge different subscriptions for additional services and also the diginou’s online ordering system charge a platform service fee of 3% applies only to card payment orders processed through the Platform, unless otherwise agreed in writing. This fee is calculated automatically per eligible transaction.
In addition, Viva.com or any other payment provider may charge separate card processing, acquiring, settlement, or payment service fees. These provider fees are independent from Diginou’s fees and may change according to the provider’s own pricing policy.
Cash orders or non-card orders are not subject to the Diginou card payment service fee, unless otherwise stated in the applicable pricing plan.
12. SoftPOS, Devices & Technical Compatibility
The Platform may support SoftPOS-related workflows through third-party payment provider technology, allowing eligible businesses to accept card payments using compatible mobile devices.
SoftPOS availability depends on the payment provider, the merchant’s country, the device model, operating system, NFC capability, provider approval, internet connection, and any other technical or regulatory requirements imposed by the payment provider.
Diginou does not guarantee that SoftPOS will be available or compatible with every device, operating system, business type, country, or payment provider account.
The business is solely responsible for ensuring that its devices, internet connection, payment provider account, and operating environment meet the required technical and legal requirements.
13. Electronic Invoicing & Tax Compliance
The Platform may provide access to electronic invoicing functionality through Diginou or third-party electronic invoicing integrations.
Currently, electronic invoicing functionality is available only for businesses operating in Greece, unless otherwise stated in writing by Diginou.
The business remains solely responsible for:
– Issuing legally valid receipts, invoices, and other tax documents;
– Ensuring that all tax, VAT, accounting, and myDATA obligations are met;
– Reviewing the accuracy of issued documents;
– Maintaining legally required accounting records;
– Consulting its accountant or tax advisor where necessary.
Diginou does not provide accounting, tax, legal, or financial advice. Use of the invoicing functionality does not replace the business’s obligation to verify compliance with applicable tax and invoicing laws.
Diginou shall not be liable for incorrect tax settings, incorrect VAT rates, incorrect business details, failed submissions, omissions, accounting errors, penalties, audits, or tax authority claims arising from the business’s use of the Platform.
14. Online Orders, Delivery & Food-Related Responsibility
Diginou provides software tools that allow businesses to receive and manage orders. Diginou does not prepare, package, deliver, sell, inspect, or guarantee any food, beverage, or product.
The business is solely responsible for:
– Food preparation, hygiene, quality, and safety;
– Allergen information and product descriptions;
– Delivery timing, delivery zones, delivery fees, and courier arrangements;
– Order acceptance, rejection, preparation, fulfilment, cancellation, and refund decisions;
– Compliance with applicable food safety, health, consumer protection, and licensing laws.
Diginou shall not be liable for food quality, allergic reactions, incorrect orders, late deliveries, missing items, customer dissatisfaction, health-related claims, or any dispute between a business and an end customer.
15. Illegal Content & DSA Reporting
In compliance with the Digital Services Act (DSA):

Uploading illegal, counterfeit, or unsafe products/services is strictly prohibited.

The Platform provides a reporting mechanism: report@diginou.com.

Upon receiving a report, we may:

Remove the relevant content,

Suspend or delete accounts,

Cooperate with authorities where required.

16. Indemnification
You agree to indemnify and hold harmless Diginou, its employees, officers, and partners from any claims, liabilities, or expenses (including legal fees) arising from:

Your violation of these Terms, or
-
Your infringement of third-party rights.
17. Intellectual Property
All platform content, trademarks, source code, and functionalities (excluding user-generated content) are the intellectual property of Diginou.
You may not copy, modify, or republish any part of the Service without prior written consent.
18. Termination
We reserve the right to suspend or terminate your account at any time, without notice, in case of violations of these Terms.
You may stop using the Service at any time.
Any outstanding financial or other obligations shall remain in effect.
19. Governing Law & Jurisdiction
These Terms are governed by Greek law.
Any disputes shall fall under the exclusive jurisdiction of the courts of Athens, Greece.
20. Modifications to the Terms
We may modify these Terms at any time.
Changes will be posted on this page and will take effect immediately.
Continued use of the Platform constitutes acceptance of the updated Terms.
21. Pricing, Fees, Subscriptions & Billing
Diginou may offer free plans, paid subscriptions, transaction-based fees, usage-based fees, or custom commercial agreements.
All applicable fees are displayed on the Platform, pricing page, order form, or separate written agreement.
Paid subscriptions may renew automatically at the end of each billing period unless cancelled before the renewal date.
Unless otherwise stated, fees paid to Diginou are non-refundable, except where required by applicable law or expressly agreed in writing.
Diginou reserves the right to modify pricing, plans, included features, transaction fees, or billing models. Any material pricing changes will be communicated through the Platform, website, or email.
Payment provider fees, including Viva.com processing or acquiring fees, are separate from Diginou’s fees and are governed by the payment provider’s own pricing terms.
22. Data Protection & GDPR Compliance
When a business uses the Platform to process customer orders, Diginou may process personal data such as names, contact details, delivery addresses, order details, and payment-related references.
Depending on the processing activity, the business may act as the data controller and Diginou may act as a data processor. The business is responsible for ensuring that it has a valid legal basis to collect and process customer personal data through the Platform.
Diginou processes personal data only as necessary to provide the Service, maintain security, support business operations, comply with legal obligations, and as further described in the Privacy Policy.
Where required, a separate Data Processing Agreement may apply.
23. Availability, Internet Dependency & Support
Diginou is a cloud-based platform and requires a stable internet connection and compatible devices to operate properly.
While we aim to provide reliable service availability, we do not guarantee uninterrupted, error-free, or continuous operation. The Platform may be unavailable due to maintenance, updates, internet failures, hosting issues, third-party provider outages, payment provider downtime, force majeure events, or technical problems outside our control.
The business is responsible for maintaining alternative operational procedures where necessary, including backup processes for order taking, payments, invoicing, and customer communication.
Support is provided on an availability basis, unless a separate written service level agreement has been agreed.
